With in-house and law firm experience handling a range of business transactions, Reginald Guy offers clients a pragmatic perspective on getting deals done and moving their business forward.

As in-house counsel for a major U.S. food distributor, Reggie negotiated and drafted key business agreements to facilitate nationwide sales and distribution efforts. In addition to handling commercial contracts, Reggie counseled executive leadership with advice and analysis regarding business units’ ongoing process improvements and Covid-19 related legal issues. Reggie’s background also includes work in investment analysis, corporate purchasing, and other areas of business management and administration.

Clients value Reggie’s focus on honesty, responsiveness, and outstanding client service. Business owners and key executives rely on his counsel in transactions relating to mergers, stock and asset acquisitions and dispositions, and entity formation. He has handled due diligence and closing activities for private equity deals and negotiated key agreements around operations and employment for clients in the sports, media, and entertainment industries.

Active in the community, Reggie serves as a community representative for the Chicago Public Schools Local School Council in his neighborhood, is a member of the Board of Directors of the South Side YMCA, and serves as a pro bono attorney for Cabrini Green Legal Aid.

  • Representation of Armstrong Building Contractors Inc. in $75 million asset divestment of its national window and door installation company.   • Representation of Property Brands, LLC in $14 million acquisition of Electronic Tenant Solutions. Responsibilities included: lead role in corporate due diligence; updating, drafting, and reviewing the Disclosure Schedules, and drafting ancillary documents.
  • Representation of Vecta Holdings, LLC in $5.25 million acquisition of Holeshot Services. Responsibilities included: lead role in corporate due diligence; updating, drafting, and reviewing the Disclosure Schedules, and drafting ancillary documents.
  • Representation of a global manufacturer of confectionery in stock purchase of a national chocolate manufacturing company. Responsibilities included: lead role in corporate due diligence; updating, drafting, and reviewing the Disclosure Schedules, and drafting ancillary documents.
  • Representation of one of the largest national manufacturers of protective gear for the football, baseball, softball, and lacrosse markets in its $18 million credit refinancing. Responsibilities included: lead role in corporate due diligence negotiating the non-disclosure agreements; updating, drafting, and reviewing the Disclosure Schedules, and drafting ancillary documents.
  • Representation of Red Arts Capital in acquisition of Sunset Pacific Transportation, Inc. Responsibilities included: lead role in corporate due diligence negotiating the non-disclosure agreements; updating, drafting and reviewing the Disclosure Schedules, and drafting ancillary documents.
  • Representation of TPG Capital in $737 million acquisition of Exactech. Responsibilities included: role in corporate due diligence; updating and reviewing the Disclosure Schedules, and drafting ancillary documents.
  • Representation of StatLab Medical Products in acquisition of American Master*Tech Scientific, LLC. Responsibilities included: role in corporate due diligence; updating and reviewing the Disclosure Schedules, and drafting ancillary documents.
  • Representation of BEF Fund LP in minority investment in Arencibia Associates. Responsibilities included: role in corporate due diligence; updating and reviewing the Disclosure Schedules, and drafting ancillary documents.
  • Representation of Cressey & Company LP in majority investment and restructuring of Dental Services Group. Responsibilities included: role in corporate due diligence; updating and reviewing the Disclosure Schedules, and drafting ancillary documents.
  • Representation of Cressey & Company LP in agreement to acquire a majority ownership position in StatLab Medical Products from Prairie Capital LP. Responsibilities included: role in corporate due diligence; updating and reviewing the Disclosure Schedules, and drafting ancillary documents.
  • Representation of Coca-Cola Beverages Florida, LLC in acquisition of distribution territories and operations and production facilities in South Florida from The Coca-Cola Company.
